By accessing, downloading, installing, or using the Quadceros mobile application ("App"), purchasing or using Quadceros hardware devices ("Hardware"), or accessing our cloud services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our products or services.
2. Description of Services
Quadceros provides an integrated animal monitoring platform consisting of:
- Hardware Devices: Sensor-equipped monitoring devices designed for attachment to animals
- Mobile Application: Software for monitoring animal status, receiving alerts, and managing devices
- Cloud Services: Data storage, processing, and analytics services for animal monitoring data
Our platform is designed for professional animal management including hunting dogs, police K9 units, and other high-value animal care applications.
3. User Accounts and Registration
3.1 Account Creation
- You must create an account to use our Services
- You must provide accurate, current, and complete information
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized use of your account
3.2 Account Eligibility
- You must be at least 18 years old or have parental/guardian consent
- You must have the legal authority to enter into this agreement
- Organizations must have appropriate authorization to bind the entity
4. Hardware Terms
4.1 Device Ownership and Use
- You retain ownership of purchased Hardware devices
- Devices are intended for one-to-one pairing with animals
- Devices may not be resold without transferring associated account permissions
- Tampering with devices may void warranty and service access
4.2 Device Requirements
- Proper installation and maintenance are your responsibility
- You must ensure devices are appropriate for your specific animal and use case
- Regular charging and maintenance are required for optimal performance
4.3 Device Data
- Devices collect sensor data including camera footage, temperature readings, and location data
- Data transmission requires internet connectivity
- We are not responsible for service interruptions due to connectivity issues
5. Software License and Restrictions
5.1 License Grant
We grant you a limited, non-exclusive, non-transferable license to use our App and Services in accordance with these Terms.
5.2 Restrictions
You may not:
- Reverse engineer, decompile, or disassemble our software
- Distribute, sell, or sublicense the App
- Use the Services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Services
6. Data and Privacy
6.1 Data Collection
We collect and process data from your devices, including:
- Animal biometric data (temperature, activity, location)
- Camera footage and images
- Device performance and diagnostic data
- User account and usage information
6.2 Data Use
- Data is used to provide monitoring services and alerts
- Aggregated, anonymized data may be used for service improvement
- We will not sell individual animal data to third parties
- Data may be shared with emergency services if configured by you
6.3 Data Security
- We implement reasonable security measures to protect your data
- However, no system is 100% secure, and you use the Services at your own risk
- You are responsible for backing up any critical data
7. Alerts and Notifications
7.1 Alert Accuracy
- Alerts are generated based on sensor data and algorithms
- We do not guarantee the accuracy or completeness of alerts
- You should not rely solely on our alerts for animal safety decisions
- False positives and missed alerts may occur
7.2 Emergency Response
- Our Services are not a substitute for professional veterinary care
- We are not responsible for emergency response or animal welfare outcomes
- You remain fully responsible for the care and safety of your animals
8. Fees and Payment
8.1 Hardware Costs
- Hardware devices are sold separately with applicable taxes and shipping
- Prices are subject to change without notice
- All sales are final unless otherwise specified in our return policy
8.2 Service Fees
- Monthly or annual subscription fees may apply for cloud services
- Fees are billed in advance and are non-refundable
- We may change fees with 30 days' notice
8.3 Payment Terms
- Payment is due upon purchase or subscription activation
- Failed payments may result in service suspension
- You are responsible for all applicable taxes
9. Warranty and Disclaimers
9.1 Limited Warranty
- Hardware devices come with a limited warranty against manufacturing defects
- Software is provided "as is" without warranty
- We disclaim all implied warranties to the maximum extent permitted by law
9.2 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUADCEROS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits or business opportunities
- Animal injury, illness, or death
- Data loss or corruption
- Service interruptions or delays
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Quadceros from any claims, damages, losses, or expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Animal-related incidents or outcomes
12. Service Availability and Modifications
12.1 Service Availability
- We strive to maintain service availability but do not guarantee uninterrupted access
- Maintenance, updates, and technical issues may cause temporary service disruptions
- We are not liable for service interruptions
12.2 Modifications
- We may modify, suspend, or discontinue Services at any time
- We will provide reasonable notice of material changes when possible
- Continued use after modifications constitutes acceptance of changes
13. Termination
13.1 Termination by You
- You may terminate your account at any time
- Termination does not entitle you to refunds of prepaid fees
- You remain responsible for all charges incurred before termination
13.2 Termination by Us
We may terminate your access for:
- Violation of these Terms
- Non-payment of fees
- Illegal or harmful use of Services
- Other reasons with or without cause
